About the Job Ricoh USA, Inc., has an excellent opportunity for a Contract Management Specialist to join our world-class legal team at our Corporate Headquarters in Malvern, PA. POSITION PROFILE The Contract Management Specialist will manage the intake, assessment, and distribution of the non-standard contract requests submitted by the Ricoh Sales teams to the Ricoh Legal Department. The Contract Management Specialist is responsible for independently reviewing, drafting and negotiating commercial transactions to meet Ricoh's business and legal requirements, escalating complex legal issues and assisting in the resolution of such issues. JOB DUTIES AND RESPONSIBILITIES - Act as a primary point of contact between Ricoh Sales team and Ricoh Legal Team by managing the contract intake and processing of customer service, sale and lease contracts, ensuring that all legal and contractual matters are addressed efficiently and promptly. - Assist Ricoh Legal Team in establishing and actively (through training or other direct communications) promoting the company's policies and programs, particularly those related to corporate governance and transactional matters, in an effort to minimize the company's legal exposure. Performs other corporate based projects supporting the Legal Team and company initiatives as assigned. - Assist Ricoh Legal Team in assessing Ricoh's exposure in various legal matters and recommending solutions to certain matters confidently and efficiently with independent research and fact finding when provided information is incomplete. - Monitor and manages contract intake process and daily work allocation of Ricoh Legal Team which includes maintaining a centralized contract intake mailbox and updating transactions log. - Support internal transactional clients, namely sales and operations personnel in the marketplaces and in corporate functions, by independently reviewing, drafting and negotiating standard and non-standard commercial transactions, including sale, lease, service transactions, confidentiality agreements, and business associate agreements for all company business units with exceptional interpersonal skills to interact courteously and effectively with a diverse group of professionals including Ricoh internal sales, Ricoh customers, outside counsel, etc. in a fast-paced environment. - Ensure contract review, approval and execution in accordance with corporate and/or business unit guidelines and company policies. - Analyze and draft legal provisions using a working knowledge of contracting concepts and terms, including indemnity, limitation of liability, warranties and disclaimers, guarantees, etc. - Identify and provide direction on business terms that affect the assumption and/or mitigation of contractual, performance or other risks. - Identify opportunities for process improvements and to help ensure compliance with company and external rules. - Perform other duties as assigned. QUALIFICATIONS (Education, Experience, and Certifications) - Typically Requires: - Requires 4-year college degree or equivalent experience. - Paralegal certificate preferred. - Requires at least 5 years of legal/contract management professional experience with an expertise in commercial transactions practices and of negotiation strategies and techniques.
